Devolia Geo is a RPC (Remote Procedure Call) service offering user geolocation (i.e. the service returns the closest city and country names from latitude and longitude or IP number).

It can easily be used with Google Maps or as a mobile back-office service (iPhone).

Devolia a développé le logiciel Devolia Geo qui est un outil permettant de géolocaliser un utilisateur : à partir d'un couple de coordonnées GPS ou de l'adresse IP, le service renvoie le nom de la ville et du pays le plus proche. Le Client a souhaité utiliser le logiciel Devolia Geo conformément aux stipulations du contrat de licence pour utilisateur final. Devolia et le Client sont ci-après désignés individuellement comme une « Partie » ou collectivement comme les « Parties ». Article 1 - DEFINITIONS 1.1 « Contrat » désigne le présent contrat de licence pour utilisateur final, ainsi que tout avenant éventuel qui viendrait le compléter, à l'exclusion de tous autres documents, notamment ceux pouvant être émis par le Client avant ou après la signature du Contrat. 1.2 « Documentation » désigne la version du manuel d'utilisation du Logiciel mise à la disposition du Client par Devolia dans le cadre du Contrat. 1.3 « Information Confidentielle » désigne toute information communiquée (que ce soit par écrit, oralement ou par un autre moyen et que ce soit directement ou indirectement) par Devolia au Client avant ou après la date d'entrée en vigueur du Contrat, y compris, sans limitation, les informations relatives au Logiciel ainsi que les opérations, procédés, plans, savoir-faire, secrets commerciaux, inventions, techniques, opportunités commerciales et activités de Devolia. 1.4 « Logiciel » désigne le logiciel Devolia Geo appartenant à Devolia, sous forme de codes sources et de code objet, tel que décrit dans la Documentation. Article 2 - OBJET DU CONTRAT Le Contrat détermine les conditions selon lesquelles Devolia accepte de concéder au Client une licence d'utilisation personnelle, non exclusive, non transférable et non cessible, du Logiciel et de la Documentation. Article 3 - ENTREE EN VIGUEUR Le Contrat prend effet à compter du premier téléchargement, de la première installation ou de la première utilisation du Logiciel, pour une durée indéterminée. Article 4 - DROITS D'UTILISATION 4.1 Droit d'utilisation Devolia accorde un droit d'utilisation personnel, non exclusif, non transférable et non cessible, du Logiciel et de la Documentation au Client pour le monde entier et pendant toute la durée de protection par les droits de propriété intellectuelle correspondant. 4.2 Accès aux codes sources Le Client est autorisé à accéder librement aux codes sources du Logiciel. En conséquence, le Client est autorisé à : (i) utiliser le Logiciel pour ses seuls besoins internes, à l'exclusion de toute exploitation commerciale du Logiciel ; (ii) effectuer une copie du Logiciel ou d'éléments du Logiciel, qu'il est autorisé à conserver pendant la durée du Contrat. La copie du Logiciel ainsi autorisée doit reproduire toutes les mentions de propriété intellectuelle de l'original ; (iii) traduire, adapter, arranger, modifier le Logiciel et la Documentation, dans le respect des stipulations du Contrat. Au cas où le Client souhaiterait obtenir les informations permettant de mettre en oeuvre l'interopérabilité du Logiciel avec un autre logiciel développé ou acquis de manière indépendante par le Client et ce pour un emploi conforme à la destination du Logiciel, le Client s'engage, avant de faire appel à un tiers, à consulter préalablement Devolia qui pourra lui fournir les informations nécessaires à la mise en oeuvre de cette interopérabilité. La fourniture de ces informations par Devolia se fera sur la base du montant du coût engendré en interne chez Devolia ; (iv) procéder seul à la correction des éventuelles erreurs du Logiciel pour le rendre conforme à sa destination. Dans ce cas, le Client s'engage à fournir sans délai lesdites corrections à Devolia et à lui céder l'ensemble des droits de propriété intellectuelle y afférant en vue de leur intégration dans le Logiciel. 4.3 Limitations Le Client s'interdit, directement ou indirectement : (i) concéder une licence ou une sous-licence, revendre, louer, vendre en crédit-bail, diffuser, commercialiser, mettre à la disposition de tiers de quelque manière que ce soit (et notamment sous forme de service bureau, en ASP ou en SaaS) ou céder les droits ou l'utilisation : (a) du Logiciel, (b) d'une version modifiée ou d'une oeuvre dérivée du Logiciel créé par le Client ou pour le Client ; (ii) supprimer ou modifier toute référence ou indication relative aux droits de propriété de Devolia ou de tout tiers ; (iii) transférer, utiliser ou exporter le Logiciel en violation de la réglementation en vigueur ; (iv) de reproduire la Documentation ; (v) d'intégrer ou d'associer le Logiciel ou la Documentation avec d'autres logiciels ou documents ou de créer des oeuvres composites ou dérivées avec l'aide de tout ou partie du Logiciel ou de la Documentation ; (vi) d'effectuer toute autre utilisation du Logiciel et de la Documentation que celle permise dans le cadre du Contrat. Article 5 - MISE A DISPOSITION DU LOGICIEL Le Logiciel est fourni au Client par téléchargement. Les Parties pourront convenir que le Logiciel sera hébergé par Devolia si le Client en fait la demande. Le cas échéant, les conditions de l'hébergement et en particulier les conditions financières devront être prévues dans un contrat ad hoc. Article 6 - PROPRIETE INTELLECTUELLE Devolia déclare être titulaire des droits de propriété intellectuelle, et conserve la propriété intellectuelle du Logiciel et de la Documentation. La concession du droit d'utilisation du Logiciel et de la Documentation prévue au Contrat n'entraîne le transfert d'aucun droit de propriété. Le Client s'engage à ne pas porter atteinte directement ou indirectement aux droits de Devolia. Le Client s'engage à prendre à l'égard des membres de son personnel et de toute personne extérieure qui aurait accès au Logiciel, toutes les mesures nécessaires pour assurer le secret et le respect des droits de propriété intellectuelle de Devolia sur ledit Logiciel. Article 7 - GARANTIES Devolia fournit le Logiciel en l'état et exclut toute garantie liée au Logiciel, et notamment toute garantie de conformité, d'éviction, de compatibilité et d'adéquation aux besoins ou à l'environnement du Bénéficiaire. Le Client reconnaît que la licence définie au Contrat lui est concédée à ses risques et périls. Article 8 - RESPONSABILITE Devolia exclut toute responsabilité en cas de perte, de réclamation ou de tous dommages découlant de l'utilisation du Logiciel au titre du Contrat. Il appartient exclusivement au Client de s'assurer que ses données et ses matériels sont protégés de façon adéquate. En particulier, Devolia exclut toute responsabilité du fait de la perte ou de l'altération de données ou en cas de dommages indirects y compris, mais sans que cette liste soit limitative, les pertes de revenus ou de profits ou les pertes en termes d'image. Article 9 - RESILIATION Chaque Partie pourra de plein droit, sans préjudice de tous dommages-intérêts qu'elle se réserve le droit de solliciter judiciairement, résilier le Contrat avec effet immédiat en cas de manquement par l'autre Partie à l'une quelconque des obligations au titre du Contrat, et notamment en cas de défaut de paiement des factures de redevances dues par le Client à Devolia, s'il n'a pas été remédié à ce manquement par la partie défaillante dans un délai de trente (30) jours ouvrables à compter de la notification de ce manquement faite par l'autre Partie, par lettre recommandée avec accusé de réception. Dans les cas où Devolia peut raisonnablement penser que le Client manque à l'un de ses engagements aux termes des articles 4 « Droits d'utilisation » et/ou 11 « Confidentialité », Devolia est autorisée, de plein droit, sans préjudice de tous dommages-intérêts qu'elle se réserve le droit de solliciter judiciairement, de résilier le Contrat avec effet immédiat à compter de la première présentation d'une notification faisant état des manquements reprochés. En cas de cessation du Contrat, quel qu'en soit le motif, le Client devra immédiatement cesser d'utiliser ce Logiciel. De plus, le Client restituera immédiatement à Devolia toute reproduction éventuelle de la Documentation. À première demande de Devolia, le Client devra confirmer par écrit que la Documentation a été restituée. Article 10 - NON CONCURRENCE Le Client s'engage expressément à ne pas se servir de son expérience ni du Logiciel pour développer ou commercialiser, directement ou indirectement, un logiciel permettant de gérer une activité similaire à celle réalisée grâce au Logiciel. Le Client sera tenu par cette obligation de non concurrence pendant toute la durée du Contrat et pendant une période de deux (2) ans à compter de son expiration ou de sa résiliation. Article 11 - CONFIDENTIALITE Le Client s'engage en son nom et au nom de ses préposés, agents, sous-traitants et partenaires, pendant la durée du Contrat et pendant une période de cinq (5) ans après sa cessation, à : (i) ne pas utiliser les Informations Confidentielles à des fins autres que l'exécution de ses obligations conformément au Contrat ; (ii) prendre toute précaution qu'il utilise pour protéger ses propres informations confidentielles d'une valeur importante, étant précisé que ces précautions ne sauraient être à inférieures à celles d'un professionnel diligent ; (iii) ne divulguer les Informations Confidentielles à quiconque, par quelque moyen que ce soit, sauf à ses préposés, agents, prestataires de service ou sous-traitants auxquels ces informations sont nécessaires pour l'exécution des prestations et des discussions commerciales menées entre les Parties. Ne constituent pas des Informations Confidentielles : (i) les informations actuellement accessibles ou devenant accessibles au public sans manquement aux termes du Contrat de la part d'une Partie ; (ii) les informations légalement détenues par une Partie avant leur divulgation par l'autre ; (iii) les informations ne résultant ni directement ni indirectement de l'utilisation de tout ou partie des Informations Confidentielles ; (iv) les informations valablement obtenues auprès d'un tiers autorisé à transférer ou à divulguer lesdites informations. Au terme du Contrat, en raison de la survenance de son terme ou de sa résiliation, le Client devra sans délais remettre à Devolia toutes les Informations Confidentielles, quel que soit leur support, obtenues dans le cadre du Contrat. Le Client s'interdit d'en conserver copie sous quelle que forme que ce soit, sauf accord exprès préalable et écrit de Devolia. Article 12 - DIVERS 12.1 Audit Dévolia est autorisée, sous réserve d'en avertir le client sept (7) jours à l'avance, à réaliser, ou faire réaliser par tout tiers de son choix, un audit dans les locaux du Client afin de s'assurer du respect de ses engagements contractuels par ce dernier. Dans l'hypothèse où l'audit révèlerait un ou plusieurs manquements à ses obligations contractuelles par le Client, les coûts liés à l'audit seraient à la charge du Client et Dévolia serait autorisée à résilier le Contrat conformément aux stipulations de l'article 9 « Résiliation », sans préjudice de toute autre réparation qu'elle pourrait obtenir. 12.2 Référencement du Client Le Client accepte de figurer sur la liste des références client de Devolia. Cette acceptation inclut la participation à des communiqués de presse et le fait que le Contrat puisse servir d'exemple marketing de collaboration réciproquement fructueuse. 12.3 Cession - Transfert du Contrat Devolia aura la possibilité de transférer librement tout ou partie des droits et obligations résultant pour elle du Contrat. 12.4 Force Majeure Chacune des Parties ne saurait voir sa responsabilité engagée pour le cas ou l'exécution de ses obligations serait retardée, restreinte ou rendue impossible du fait de la survenance d'un cas de force majeure, tel que défini par la jurisprudence, ou d'un cas fortuit (ci-après la « Force Majeure »). Sont notamment considérée comme Force Majeure, sans que cette liste soit limitative, les évènements suivants : fait du prince, guerre (déclarée ou non), terrorisme, invasion, rébellion, blocus, sabotage, vandalisme, grève totale ou partielle externe à chacune des Parties, conflit social externe à chacune des Parties, trouble civil, intempérie, catastrophe naturelle, incendie, épidémie, blocage des moyens de transport ou d'approvisionnement notamment en énergie, défaillance dans la fourniture de l'énergie électrique, du chauffage, de l'air conditionné, des réseaux de télécommunications, du transport des données, défaillance de satellites. Dans l'hypothèse de la survenance d'une Force Majeure, l'exécution des obligations de chaque Partie est suspendue. Si la Force Majeure se poursuit pendant plus de trois (3) mois, le Contrat pourra être résilié à la demande de la Partie la plus diligente sans pour autant que la responsabilité d'une Partie puisse être engagée à l'égard de l'autre. Chacune des Parties supporte la charge de tous les frais qui lui incombent et qui résultent de la survenance de la Force Majeure. 12.5 Renonciation Le fait que l'une ou l'autre des Parties n'exerce pas l'un quelconque de ses droits au titre des présentes ne saurait emporter renonciation de sa part à son exercice, une telle renonciation ne pouvant procéder que d'une déclaration expresse de la Partie concernée. 12.6 Validité Dans l'hypothèse où une ou plusieurs stipulations du Contrat seraient considérées comme non valides par une juridiction compétente, les autres clauses conserveront leur portée et effet. Article 13 - LOI APPLICABLE - JURIDICTION COMPETENTE Le Contrat est régi par le droit français. LES PARTIES ACCEPTENT EXPRESSÉMENT DE SOUMETTRE TOUT LITIGE RELATIF AU CONTRAT À LA COMPÉTENCE EXCLUSIVE DU TRIBUNAL DE GRANDE INSTANCE DE PARIS, NONOBSTANT PLURALITÉ DE DÉFENDEURS OU APPEL EN GARANTIE, Y COMPRIS POUR LES PROCÉDURES SUR REQUÊTE OU EN RÉFÉRÉ.

Dans ce cas, le Client s'engage à fournir sans délai lesdites corrections à Devolia et à lui céder l'ensemble des droits de propriété intellectuelle y afférant en vue de leur intégration dans le Logiciel. 4.3 Limitations Le Client s'interdit, directement ou indirectement : (i) concéder une licence ou une sous-licence, revendre, louer, vendre en crédit-bail, diffuser, commercialiser, mettre à la disposition de tiers de quelque manière que ce soit (et notamment sous forme de service bureau, en ASP ou en SaaS) ou céder les droits ou l'utilisation : (a) du Logiciel, (b) d'une version modifiée ou d'une oeuvre dérivée du Logiciel créé par le Client ou pour le Client ; (ii) supprimer ou modifier toute référence ou indication relative aux droits de propriété de Devolia ou de tout tiers ; (iii) transférer, utiliser ou exporter le Logiciel en violation de la réglementation en vigueur ; (iv) de reproduire la Documentation ; (v) d'intégrer ou d'associer le Logiciel ou la Documentation avec d'autres logiciels ou documents ou de créer des oeuvres composites ou dérivées avec l'aide de tout ou partie du Logiciel ou de la Documentation ; (vi) d'effectuer toute autre utilisation du Logiciel et de la Documentation que celle permise dans le cadre du Contrat. Article 5 - MISE A DISPOSITION DU LOGICIEL Le Logiciel est fourni au Client par téléchargement. Les Parties pourront convenir que le Logiciel sera hébergé par Devolia si le Client en fait la demande. Le cas échéant, les conditions de l'hébergement et en particulier les conditions financières devront être prévues dans un contrat ad hoc. Article 6 - PROPRIETE INTELLECTUELLE Devolia déclare être titulaire des droits de propriété intellectuelle, et conserve la propriété intellectuelle du Logiciel et de la Documentation. La concession du droit d'utilisation du Logiciel et de la Documentation prévue au Contrat n'entraîne le transfert d'aucun droit de propriété. Le Client s'engage à ne pas porter atteinte directement ou indirectement aux droits de Devolia. Le Client s'engage à prendre à l'égard des membres de son personnel et de toute personne extérieure qui aurait accès au Logiciel, toutes les mesures nécessaires pour assurer le secret et le respect des droits de propriété intellectuelle de Devolia sur ledit Logiciel. Article 7 - GARANTIES Devolia fournit le Logiciel en l'état et exclut toute garantie liée au Logiciel, et notamment toute garantie de conformité, d'éviction, de compatibilité et d'adéquation aux besoins ou à l'environnement du Bénéficiaire. Le Client reconnaît que la licence définie au Contrat lui est concédée à ses risques et périls. Article 8 - RESPONSABILITE Devolia exclut toute responsabilité en cas de perte, de réclamation ou de tous dommages découlant de l'utilisation du Logiciel au titre du Contrat. Il appartient exclusivement au Client de s'assurer que ses données et ses matériels sont protégés de façon adéquate. En particulier, Devolia exclut toute responsabilité du fait de la perte ou de l'altération de données ou en cas de dommages indirects y compris, mais sans que cette liste soit limitative, les pertes de revenus ou de profits ou les pertes en termes d'image. Article 9 - RESILIATION Chaque Partie pourra de plein droit, sans préjudice de tous dommages-intérêts qu'elle se réserve le droit de solliciter judiciairement, résilier le Contrat avec effet immédiat en cas de manquement par l'autre Partie à l'une quelconque des obligations au titre du Contrat, et notamment en cas de défaut de paiement des factures de redevances dues par le Client à Devolia, s'il n'a pas été remédié à ce manquement par la partie défaillante dans un délai de trente (30) jours ouvrables à compter de la notification de ce manquement faite par l'autre Partie, par lettre recommandée avec accusé de réception. Dans les cas où Devolia peut raisonnablement penser que le Client manque à l'un de ses engagements aux termes des articles 4 « Droits d'utilisation » et/ou 11 « Confidentialité », Devolia est autorisée, de plein droit, sans préjudice de tous dommages-intérêts qu'elle se réserve le droit de solliciter judiciairement, de résilier le Contrat avec effet immédiat à compter de la première présentation d'une notification faisant état des manquements reprochés. En cas de cessation du Contrat, quel qu'en soit le motif, le Client devra immédiatement cesser d'utiliser ce Logiciel. De plus, le Client restituera immédiatement à Devolia toute reproduction éventuelle de la Documentation. À première demande de Devolia, le Client devra confirmer par écrit que la Documentation a été restituée. Article 10 - NON CONCURRENCE Le Client s'engage expressément à ne pas se servir de son expérience ni du Logiciel pour développer ou commercialiser, directement ou indirectement, un logiciel permettant de gérer une activité similaire à celle réalisée grâce au Logiciel. Le Client sera tenu par cette obligation de non concurrence pendant toute la durée du Contrat et pendant une période de deux (2) ans à compter de son expiration ou de sa résiliation. Article 11 - CONFIDENTIALITE Le Client s'engage en son nom et au nom de ses préposés, agents, sous-traitants et partenaires, pendant la durée du Contrat et pendant une période de cinq (5) ans après sa cessation, à : (i) ne pas utiliser les Informations Confidentielles à des fins autres que l'exécution de ses obligations conformément au Contrat ; (ii) prendre toute précaution qu'il utilise pour protéger ses propres informations confidentielles d'une valeur importante, étant précisé que ces précautions ne sauraient être à inférieures à celles d'un professionnel diligent ; (iii) ne divulguer les Informations Confidentielles à quiconque, par quelque moyen que ce soit, sauf à ses préposés, agents, prestataires de service ou sous-traitants auxquels ces informations sont nécessaires pour l'exécution des prestations et des discussions commerciales menées entre les Parties. Ne constituent pas des Informations Confidentielles : (i) les informations actuellement accessibles ou devenant accessibles au public sans manquement aux termes du Contrat de la part d'une Partie ; (ii) les informations légalement détenues par une Partie avant leur divulgation par l'autre ; (iii) les informations ne résultant ni directement ni indirectement de l'utilisation de tout ou partie des Informations Confidentielles ; (iv) les informations valablement obtenues auprès d'un tiers autorisé à transférer ou à divulguer lesdites informations. Au terme du Contrat, en raison de la survenance de son terme ou de sa résiliation, le Client devra sans délais remettre à Devolia toutes les Informations Confidentielles, quel que soit leur support, obtenues dans le cadre du Contrat. Le Client s'interdit d'en conserver copie sous quelle que forme que ce soit, sauf accord exprès préalable et écrit de Devolia. Article 12 - DIVERS 12.1 Audit Dévolia est autorisée, sous réserve d'en avertir le client sept (7) jours à l'avance, à réaliser, ou faire réaliser par tout tiers de son choix, un audit dans les locaux du Client afin de s'assurer du respect de ses engagements contractuels par ce dernier. Dans l'hypothèse où l'audit révèlerait un ou plusieurs manquements à ses obligations contractuelles par le Client, les coûts liés à l'audit seraient à la charge du Client et Dévolia serait autorisée à résilier le Contrat conformément aux stipulations de l'article 9 « Résiliation », sans préjudice de toute autre réparation qu'elle pourrait obtenir. 12.2 Référencement du Client Le Client accepte de figurer sur la liste des références client de Devolia. Cette acceptation inclut la participation à des communiqués de presse et le fait que le Contrat puisse servir d'exemple marketing de collaboration réciproquement fructueuse. 12.3 Cession - Transfert du Contrat Devolia aura la possibilité de transférer librement tout ou partie des droits et obligations résultant pour elle du Contrat. 12.4 Force Majeure Chacune des Parties ne saurait voir sa responsabilité engagée pour le cas ou l'exécution de ses obligations serait retardée, restreinte ou rendue impossible du fait de la survenance d'un cas de force majeure, tel que défini par la jurisprudence, ou d'un cas fortuit (ci-après la « Force Majeure »). Sont notamment considérée comme Force Majeure, sans que cette liste soit limitative, les évènements suivants : fait du prince, guerre (déclarée ou non), terrorisme, invasion, rébellion, blocus, sabotage, vandalisme, grève totale ou partielle externe à chacune des Parties, conflit social externe à chacune des Parties, trouble civil, intempérie, catastrophe naturelle, incendie, épidémie, blocage des moyens de transport ou d'approvisionnement notamment en énergie, défaillance dans la fourniture de l'énergie électrique, du chauffage, de l'air conditionné, des réseaux de télécommunications, du transport des données, défaillance de satellites. Dans l'hypothèse de la survenance d'une Force Majeure, l'exécution des obligations de chaque Partie est suspendue. Si la Force Majeure se poursuit pendant plus de trois (3) mois, le Contrat pourra être résilié à la demande de la Partie la plus diligente sans pour autant que la responsabilité d'une Partie puisse être engagée à l'égard de l'autre. Chacune des Parties supporte la charge de tous les frais qui lui incombent et qui résultent de la survenance de la Force Majeure. 12.5 Renonciation Le fait que l'une ou l'autre des Parties n'exerce pas l'un quelconque de ses droits au titre des présentes ne saurait emporter renonciation de sa part à son exercice, une telle renonciation ne pouvant procéder que d'une déclaration expresse de la Partie concernée. 12.6 Validité Dans l'hypothèse où une ou plusieurs stipulations du Contrat seraient considérées comme non valides par une juridiction compétente, les autres clauses conserveront leur portée et effet. Article 13 - LOI APPLICABLE - JURIDICTION COMPETENTE Le Contrat est régi par le droit français. LES PARTIES ACCEPTENT EXPRESSÉMENT DE SOUMETTRE TOUT LITIGE RELATIF AU CONTRAT À LA COMPÉTENCE EXCLUSIVE DU TRIBUNAL DE GRANDE INSTANCE DE PARIS, NONOBSTANT PLURALITÉ DE DÉFENDEURS OU APPEL EN GARANTIE, Y COMPRIS POUR LES PROCÉDURES SUR REQUÊTE OU EN RÉFÉRÉ.
